3. Platinum Synergy Customer and Technical Support are included with the signup of the website address. Please note that there are some items in your back office which are not supported, such as Email Notifications. If a technical support representative is unable to help you, you will be asked to contact your advisor. 4. Platinum Synergy Group reserves the right to shut down your account and take your website off line pending contact with you, the customer, to resolve an issue. This is a rare occurrence, and occurs in most instances when a website is used in violation of our anti-spam policy or the team policy that you agreed to when you became a member of that team.
5. By agreeing to these terms and conditions as stated above, you are bound to this policy and are legally responsibly for adhering to the rules and conditions stated. Any disputes against this policy, once you agree to the terms and conditions, are non-negotiable. If you have any questions or concerns about what you are agreeing to, please contact us before agreeing to the terms and conditions.
6. Mirror Image Marketing, Platinum Synergy, LIfe Path Unlimited & any other vendors are all separate entities.
Terms and Conditions of Service
I. mirrorimagemarketing.com. hereafter refers to Mirror Image Marketing.
II. CLIENT hereafter refers to individual signing up to use mirrorimagemarketing.com Services.
II. WEBSITE hereafter refers to mirrorimagemarketing.com.
1. Fees.
The CLIENT agrees to pay the amount specified to mirrorimagemarketing.com for as long as the CLIENT subscribes to the service. mirrorimagemarketing.com has the right at any time to change any prices associated with any service or product at any time, upon notification to the CLIENT. Payments shall be made by Credit Card to mirrorimagemarketing.com, LLC.
2. Copyrights and Trademarks.
The CLIENT represents to mirrorimagemarketing.com and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to mirrorimagemarketing.com for inclusion in Web pages are owned by the CLIENT, or that the CLIENT has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend mirrorimagemarketing.com and its subcontractors from any claim or suit arising from the use of such elements furnished by the CLIENT. CLIENT also understands that all text, graphics and source code on mirrorimagemarketing.com are copyrighted by their rightful owner. CLIENT agrees not to copy or reproduce any text, images or source code from mirrorimagemarketing.com.
3. No Resale or Assignment
The CLIENT may not resell, rent, assign or transfer any subscription or service to any other person or entity. Any attempt to resell, rent, assign or transfer service or subscription will result in the immediate termination of this contract and access to services or products provided by mirrorimagemarketing.com
4. Right to Rejection
mirrorimagemarketing.com reserves the right to reject any CLIENT at any time at the sole discretion of mirrorimagemarketing.com
5. Age.
CLIENT certifies that he or she is at least 18 years of age.
6. Limited Liability.
CLIENT hereby agrees that any material submitted for publication will not contain anything leading to an abusive or unethical use of the Web Hosting Service or Host Server. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, any harassing and harmful material or uses, any illegal activity, or material advocating illegal activity, and any infringement of privacy or libel.
CLIENT hereby agrees to indemnify and hold harmless mirrorimagemarketing.com from any claim resulting from CLIENT’s publication of material or use of those materials. CLIENT hereby agrees to indemnify and hold harmless mirrorimagemarketing.com in any claim resulting from the submission of illegal materials.
If mirrorimagemarketing.com shall acquire an Internet Domain Name on behalf of the CLIENT, then in such case CLIENT hereby waives any and all claims which it may have against mirrorimagemarketing.com, for any loss, damage, claim or expense arising out of or in relation to the registration of such Domain Name in any on-line or off-line network directories, membership lists or registration lists, or the release of the Domain Name from such directories or lists following the termination of the providing of this service by mirrorimagemarketing.com for any reason.
CLIENT hereby agrees that all Domain Names registered by mirrorimagemarketing.com, on behalf of the CLIENT are the property of mirrorimagemarketing.com and CLIENT retains no rights at any time to the Domain Name.
Under no circumstances, including negligence, shall mirrorimagemarketing.com, its offices, agents or anyone else involved in creating, producing or distributing it’s services, be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use mirrorimagemarketing.com’s services; or that results from mistakes, omissions, interruptions, deletion or loss of files or data, errors, defects, delays in operation, or of performance, whether or not limited to acts of God, communication failure, theft, destruction or unauthorized access to mirrorimagemarketing.com’s records, programs or services. CLIENT maintains sole responsibility for data backups and restoration. CLIENT hereby acknowledges that this paragraph shall apply to all content on the WEBSITE.
Notwithstanding the above, CLIENT’s exclusive remedies for all damages, losses and causes of actions whether in CONTRACT, tort including negligence or otherwise, shall not exceed the aggregate dollar amount which CLIENT paid during the term of this CONTRACT and any reasonable attorney’s fee and court costs.
CLIENT hereby understands that mirrorimagemarketing.com cannot be held accountable for any losses, costs, or damages due to any advertising. mirrorimagemarketing.com makes no guarantees of success by using WEBSITE services.
7. Indemnification.
CLIENT agrees that it shall defend, indemnify, save and hold mirrorimagemarketing.com harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees, ("Liabilities") asserted against mirrorimagemarketing.com, agents, its CLIENTs, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by CLIENT, its agents, employee or assigns. CLIENT agrees to defend, indemnify and hold harmless mirrorimagemarketing.com against Liabilities arising out of any injury to person or property caused by any products or services sold or otherwise distributed in connection with mirrorimagemarketing.com’s service, any material supplied by CLIENT infringing on the proprietary rights of a third party, copyright infringement, and any defective product which CLIENT has sold in the Web Design.
8. Laws Affecting Electronic Commerce.
The CLIENT agrees that the CLIENT is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend mirrorimagemarketing.com and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the CLIENT’s use of Internet electronic commerce.
9. Copyright to Web Pages.
Copyright to the finished assembled work of Web pages produced by the WEBSITE is owned by mirrorimagemarketing.com. CLIENT is assigned rights to use as a web site the design, graphics, and text contained in the finished assembled web site Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the CLIENT, and remain the property of their respective owners. mirrorimagemarketing.com and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios.
10. Non-Disclosure.
mirrorimagemarketing.com, its employees and subcontractors agree that, except as directed by CLIENT, it will not at any time during or after the term of this CONTRACT disclose any Confidential Information to any person whatsoever.
11. Cancellation.
CLIENT assumes all responsibility for canceling a subscription to WEBSITE. A cancellation can be obtained by logging in to the appropriate WEBSITE account and canceling the correct subscription. Upon cancellation, all access to services, text, graphics, pictures, source and other materials will be restricted and no longer usable by the CLIENT. CLIENT hereby agrees that upon cancellation of WEBSITE service, the CLIENT is forfeiting any and all rights to use any materials found at the WEBSITE. CLIENT hereby agrees that upon cancellation of WEBSITE service, all rights to material created by CLIENT will be transferred to mirrorimagemarketing.com. Any subsequent visit(s) intended for the cancelled subscription may be redistributed, sold, or given to another mirrorimagemarketing.com subscriber, splash page, or turned away.
12. Refund Policy.
No refunds will be made for any service or product of the WEBSITE. Due to the prroprietary nature of the information you will access as a member of mirrorimagemarketing.com, monthly charges are non-refundable.
13. Arbitration.
Any disputes in excess of $1,000 (or the maximum limit for small claims court) arising out of this CONTRACT shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon Arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgment may be entered in any court having jurisdiction thereof. The CLIENT shall pay all arbitration and court costs, reasonable attorney’s fees and legal interest on any award or judgment in favor of mirrorimagemarketing.com.
14. Warranty.
mirrorimagemarketing.com makes no warranty, promise or guarantee of the success of any marketing campaign or web page involving the WEBSITE.
15. Use and Restrictions of Use of your Replicated MIM Funnel System
You may use the Replicated MIM Funnel System as a component of your marketing efforts by directing lead traffic to the lead capture URL defined at the beginning of the MIM Funnel System. All lead traffic is acceptable with the following two restrictions:
1. You are prohibited from advertising or marketing your Replicated MIM Funnel System on any Cost Per Acquisition (CPA) network on the internet. If you are caught advertising your Replicated MIM Funnel System on any CPA network, you will be notified of your breach of these Terms & Conditions, your MIM account will be suspended and your capture form code within your Replicated MIM Funnel System will automatically be redirected to the MIM lead rotator account for distribution to MIM Member orders.
2. Your are prohibited from directing any lead traffic generated through advertising and marketing efforts to any URL within your Replicated MIM Funnel System the lead capture URL defined at the beginning of the MIM Funnel System. Violation of this prohibition will result in loss of ownership rights and commissions attached to the affected leads and may result in suspension of your MIM account.
16. Entire Understanding.
This CONTRACT constitutes the sole agreement between mirrorimagemarketing.com and the CLIENT regarding its Web Design Service. CLIENT understands this CONTRACT becomes effective by signing up for the WEBSITE. This CONTRACT shall be governed and construed in accordance with the laws of the State of Colorado. The parties agree that if any part, term, or provision of this Agreement shall be found illegal or in conflict with any valid controlling law, the validity of the remaining provisions shall not be affected thereby.
